The terms, in plain English,
and no longer than they need to be.
What you are buying, what you may do with it, and what we are and are not responsible for. If anything here is unclear, ask before you subscribe rather than after.
Who you are contracting with
Orthant Systematic Trading is a trading name of Buddhadeb Basu, a sole proprietor in Wesley Chapel, Florida, United States. Throughout these pages, “we”, “us” and “Orthant” mean that one person. There is no company, no team and no office.
What you are buying
A subscription licence to run our compiled NinjaTrader® add-on. You are not buying the software itself, the source code, or any rights in the trading logic. The licence lasts for as long as your subscription is current and paid.
You receive a compiled add-on and its documentation. You do not receive source code.
Your licence
We grant you a limited, revocable, non-exclusive, non-transferable licence to install and use the add-on for your own trading.
- It is tied to your NinjaTrader® account, not to a machine. Run it on your desktop, your laptop and your VPS — all of them, at once, on the same licence. There is nothing to transfer and no per-machine fee.
- Because it is tied to your account, your NinjaTrader® account email is yours alone. Sharing it so someone else can run the software is the one thing that ends a licence immediately.
- You may not resell, sublicense, rent, lend, publish, or otherwise make the add-on available to anyone else — including through a signal service, a trade room, a shared prop-firm account, or a group installation.
- You may not decompile, disassemble, deobfuscate or reverse engineer the add-on, or try to derive the trading logic from it, except where the law says such a restriction cannot be enforced.
All rights we have not expressly granted, we keep.
Prop firm and evaluation accounts
You are welcome to run the engines on evaluation and funded accounts, and they were designed with those drawdown rules in mind. But the account is yours and the rules are your firm’s: we are not responsible if you fail an evaluation, breach a daily loss or trailing drawdown limit, or lose a funded account, whatever the cause.
This is software, not advice
We sell a tool. We are not an investment adviser, a commodity trading advisor, or a broker, and nothing we provide is personalised advice.
The engines are standardised. Every licensee receives exactly the same software, with the same logic. It is not tailored to your circumstances, your account size, your positions, your risk tolerance or your objectives, and it does not take them into account.
We never touch your account. We do not log into it, trade it, hold your funds, or have any discretionary authority over it. You decide whether to run an engine, on what, at what size, and you remain responsible for it.
Consistent with that, our support will help you install, configure and understand the software — but we will not tell you what to trade, at what size, or whether a particular engine suits your situation. That is not us being unhelpful; it is the line between selling software and advising you.
Risk
Futures trading involves substantial risk of loss and is not suitable for everyone. You can lose more than your initial deposit. Leverage magnifies losses as well as gains. Only risk capital — money you can lose without affecting your financial security or lifestyle — should be used.
Past performance is not indicative of future results. Every performance figure we publish is a backtest, produced in NinjaTrader’s Strategy Analyzer, and carries the inherent limitations of hypothetical results — including that it is prepared with hindsight and involves no financial risk. Backtested results for one instrument, timeframe or broker do not carry over to another.
We do not guarantee that any engine will be profitable. We do not guarantee that any engine will perform as it did in a backtest.
Automation carries its own risks
An automated strategy runs whether or not you are watching, and things outside our control can affect it: your computer or platform crashing, a Windows update rebooting the machine, losing internet or VPS connectivity, a broker or data-feed outage, delayed or wrong market data, rejected or partially filled orders, slippage, exchange halts and limit moves, gaps straight through a stop level, contract rollover and expiry, and latency.
A stop order does not guarantee a fill at the stop price. In a gap or a fast market it fills at whatever the market offers next.
You are responsible for monitoring your open positions and for your platform, broker and connectivity setup. An engine may hold or open a position while you are away from the screen.
Things we depend on
The software runs inside NinjaTrader® and is licensed through NinjaTrader’s own vendor system. We do not control that platform, that licensing service, or your broker and data provider. If any of them change, break or discontinue something and the software stops working as a result, that is not a defect in what we sold you and it does not by itself entitle you to a refund. We will tell you what we know and help where we can.
We also cannot guarantee compatibility with future versions of NinjaTrader®.
No warranty
The software is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or profitability.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this may not apply to you.
Limit of our responsibility
To the maximum extent the law allows, our total liability to you for any claim connected with the software or these terms is limited to the fees you paid us in the twelve months before the claim.
We are not liable for indirect, incidental, consequential, special or punitive damages, and specifically not for trading losses, lost profits, missed trades, slippage, margin calls, or a failed evaluation or lost funded account.
Some jurisdictions do not allow limiting incidental or consequential damages, so parts of this may not apply to you.
When a licence ends
Your licence ends if your subscription ends, if a payment is refunded, reversed or charged back, or if you breach these terms — in particular by sharing or redistributing the software. When it ends we revoke it in NinjaTrader’s vendor system and the add-on stops running.
You may cancel at any time. See our refund and cancellation policy.
Support and updates
Support is one person, by email, usually the same day. It covers installation, configuration, and understanding what the software is doing.
Updates to the engines you are licensed for are included while your subscription is current. We may add engines, change them, or retire one that has stopped earning its place — we publish when we do, and we say why.
Eligibility
You must be at least 18 and legally able to enter this agreement. You may not use the software where doing so would break the law, and not from a country subject to United States sanctions or embargoes.
The rest
We may update these terms; material changes are announced by email to current subscribers and the effective date above changes. If part of these terms is unenforceable, the rest still stands. You may not transfer your rights under these terms; we may transfer ours. These terms are governed by the laws of the State of Florida, and any dispute belongs in the state or federal courts serving Pasco County, Florida.
Nothing here is intended to remove a right you have under consumer law that cannot be waived.
